1. This contract is a model text, jointly formulated by the Ministry of Housing and Urban-Rural Development of the People’s Republic of China and the State Administration for Industry and Commerce of the People’s Republic of China. Local governments may adjust the relevant contents of the contract in light of their actual conditions within the scope of relevant laws, regulations and provisions.
2. Before signing this contract, the seller shall present the “Commercial Housing Presale Permit” and other relevant certificates and supporting documents to the buyer.
3. The seller shall fulfill the obligation to remind the buyer of the major matters of the contract. The buyer shall sign the contract prudently. Before signing this contract, he shall carefully read the contract terms, especially the optional, supplementary and amending contents, and take precautions against potential market risks and transaction risks.
4. The parties shall negotiate and determine the contents selected in [ ], the contents to be filled in the blanks, and other contents to be deleted or added in this contract. The contents selected in [ ] shall be selected by marking √; if the actual situation has not occurred or the parties have not agreed on it, the blanks shall be marked with × to indicate deletion.
5. The seller and the buyer may make supplementary agreements in the blank lines after the relevant clauses for the contents that are not agreed upon or are unclear in the text of this contract, based on the specific circumstances of the project sold, or they may sign a supplementary agreement separately.
6. The two parties may decide the number of copies of this contract based on actual circumstances and carefully check them when signing the contract to ensure that the contents of each contract are consistent; in any case, the seller and the buyer shall hold at least one original copy of the contract.
Professional term explanation
1. Pre-sale of commercial housing: refers to the act of a real estate developer selling a commercial housing under construction that has obtained a “Commercial Housing Pre-sale Permit” to a buyer in advance, and the buyer pays a deposit or housing price.
2. Legal agent: refers to a person who directly obtains the power of attorney in accordance with the law.
3. Floor area within the unit: refers to the floor area within the unit of a complete house, which is composed of three parts: the usable area within the unit, the wall area within the unit, and the balcony area within the unit.
4. Building area of a house: refers to the outer horizontal projection area of each floor above the base of the exterior wall (column) of the house, including balconies, cantilevered corridors, basements, outdoor stairs, etc., and is a permanent building with a roof, a solid structure, and a floor height of 2.20 meters or more (including 2.20 meters ).
5. Force majeure: refers to objective circumstances that cannot be foreseen, avoided or overcome.
6. Civil building energy conservation: refers to the activities of reducing energy consumption during the use of civil buildings while ensuring the use function and indoor thermal environment quality of civil buildings. Civil buildings refer to residential buildings, office buildings of state organs, and other public buildings such as commercial, service, education, and health.
7. House registration: refers to the act of the house registration agency recording the house rights and other matters that should be recorded in the house registration book in accordance with the law.
8. Ownership transfer registration: refers to the type of registration carried out when the ownership of commercial housing is transferred from the seller to the buyer.
9. Housing registration agency: refers to the construction (real estate) department of the municipal, city or county people’s government or the agency established by it to be responsible for housing registration.
10. Split and resale sales: refers to the sales method in which a real estate development company divides a complete set of commercial housing into several parts and sells them to buyers separately.
11. Return sales: refers to the act of real estate developers selling commercial housing by returning the purchase price to the buyer at a regular interval.
12. Sale and Lease-out: refers to the act of a real estate development enterprise selling commercial housing by leasing or renting out the commercial housing purchased by the buyer for a certain period of time.

The seller sells the house it has developed and constructed to the buyer. Both parties shall, on the basis of voluntariness, equality, fairness and good faith, and in accordance with the provisions of the Contract Law of the People’s Republic of China, the Property Law of the People’s Republic of China, the Urban Real Estate Management Law of the People’s Republic of China and other laws and regulations, negotiate and reach an agreement on the relevant contents of the commercial housing sales and sign this commercial housing sales contract.
